Terms and conditions

Lenori Studio – a service of Uladzimir Siauko (Siauko Commerce)

1) Scope

1.1 These General Terms and Conditions ("Terms") of Uladzimir Siauko, trading as "Lenori Studio" and "Siauko Commerce" ("Seller"), apply to all contracts for the delivery of goods that a consumer or trader ("Customer") concludes via the Seller's online shop. The inclusion of the Customer's own terms is hereby rejected unless agreed otherwise.

1.2 A consumer within the meaning of these Terms is any natural person who enters into a legal transaction for purposes that are predominantly outside their trade, business or profession.

1.3 A trader within the meaning of these Terms is a natural or legal person or a partnership with legal capacity who, when entering into a legal transaction, acts in the exercise of their trade, business or profession.

2) Conclusion of the contract

2.1 The presentation of the products in the online shop does not constitute a legally binding offer, but an invitation to place an order.

2.2 The Customer places the desired products in the cart together with the personalisation details and enters the delivery and contact details in the checkout. Before submitting, the Customer can check all details in the summary and correct them via "Edit" or the cart. By clicking the button "Order with obligation to pay" ("Zahlungspflichtig bestellen"), the Customer makes a binding offer to purchase the goods in the cart. Immediately after submitting the order, the Customer receives an email confirming receipt of the order (order confirmation). This does not yet constitute acceptance of the offer.

2.3 The Seller accepts the offer within five working days: by notifying the Customer that the photo and the AI design have been checked and approved, by sending a design for approval or – for items without personalisation – by dispatching the goods. For payment in advance, the period starts when the payment is received. If the Seller asks for a new photo within this period, the period starts again when the new photo is received. For payment by card, PayPal, Klarna or another payment method processed via Stripe, the amount is only reserved when the order is placed and is charged once a design has been sent or approved for every personalised item of the order (for items without personalisation: on dispatch). If the reservation has already expired at the time of acceptance, the Seller informs the Customer and asks for payment again; production only starts once the payment has been received. If the Seller does not accept the offer, the reservation is released; any payments already made are refunded without delay.

2.4 The text of the contract is stored by the Seller. The Customer receives the order details with the order confirmation by email, to which these Terms and the cancellation policy are attached as a PDF; customers with a customer account can view their orders there. These Terms can be viewed in the online shop at any time. The language available for concluding the contract is German (clause 8.2). The Seller has not submitted to any particular codes of conduct.

2.5 Customer photos and content: the Customer warrants that they hold the necessary rights to the photos and texts provided and that the persons shown, or for minors those with parental responsibility, have agreed to their use for making the product. The Customer indemnifies the Seller against third-party claims based on an infringement of these rights, insofar as the Customer is responsible for the infringement. The Seller is entitled to refuse orders whose content violates statutory provisions, third-party rights or public decency; any payments already made will be refunded without delay in this case. If there are indications of criminal content, in particular depictions of child sexual abuse, the Seller informs the law enforcement authorities.

2.6 AI design: on the product page, the Customer can have a design created from their photos; it is generated automatically with artificial intelligence and labelled as an AI design. The AI design is a visualisation of the product's design. Due to the manufacturing process (3D printing, material, size), the finished product may differ from the AI design in colour, level of detail and proportions. If the Customer confirms an AI design during the ordering process, the Seller checks the photo and the design before production. If both are in order, the product is made on this basis without any further approval by the Customer; otherwise the Seller asks for a new photo or sends the Customer a revised design for approval. The Seller's right to refuse orders under clause 2.5 remains unaffected. Before ordering, the Customer is specifically informed of possible differences between the finished product and the AI design on the product page and in the checkout; they are expressly and separately agreed in the checkout (Section 476 (1) sentence 2 BGB). In all other respects, the statutory warranty rights remain unaffected.

2.7 Cooperation of the Customer: if the Seller needs a new photo or the approval of a design, the Seller informs the Customer by email or, if agreed, via WhatsApp. If the Customer does not respond within 14 days of the first notice, even after a reminder, the Seller is entitled to decline the order or, if the contract has already been concluded, to withdraw from the contract. A reservation is then released and any payments already made are refunded without delay.

3) Right of withdrawal

3.1 Consumers are generally entitled to a right of withdrawal.

3.2 There is no right of withdrawal for contracts for goods that are made to order or are clearly tailored to the personal needs of the Customer.

This applies in particular to personalised products such as figurines, phone cases, keychains and dog tags, insofar as they are made individually to the Customer's specifications.

3.3 Further information on the right of withdrawal is provided in the Seller's withdrawal policy.

4) Prices and payment terms

4.1 Unless stated otherwise in the product description, the prices shown are total prices. Due to the small business status under § 19 UStG, no VAT is shown.

4.2 The Customer can choose from various payment methods, which are stated in the Seller's offer.

4.3 For payment in advance, the purchase price is due upon receipt of the bank details with the order confirmation. If the payment is not received within seven days of the order confirmation, the Seller may decline the offer and informs the Customer by email. If the Seller does not accept the offer, any payments already made are refunded without delay.

5) Delivery and shipping terms

5.1 If the Seller offers shipping of the goods, delivery is made within the delivery area specified by the Seller to the delivery address given by the Customer, unless agreed otherwise.

5.2 If delivery of the goods fails for reasons for which the Customer is responsible, the Customer bears the reasonable costs incurred by the Seller as a result. With regard to the costs of the outward shipment, this does not apply if the Customer effectively exercises their right of withdrawal. For the return costs, if the Customer effectively exercises the right of withdrawal, the provision in the Seller's withdrawal policy applies.

5.3 If the Customer acts as a trader, the risk of accidental loss and accidental deterioration of the goods sold passes to the Customer as soon as the Seller has handed the goods over to the forwarding agent, the carrier or the person or institution otherwise designated to carry out the shipment. If the Customer acts as a consumer, the risk of accidental loss and accidental deterioration of the goods sold generally only passes upon handover of the goods to the Customer or a person authorised to receive them. In deviation from this, the risk of accidental loss and accidental deterioration of the goods sold also passes to consumers as soon as the Seller has handed the goods over to the forwarding agent, the carrier or the person or institution otherwise designated to carry out the shipment if the Customer has commissioned the forwarding agent, the carrier or the person or institution otherwise designated to carry out the shipment and the Seller has not previously named this person or institution to the Customer.

5.4 Within Germany, the Customer can choose collection in person in Essen during the ordering process; no shipping costs are charged in that case. As soon as the goods are ready, the parties arrange a date for collection.

5.5 Shipping costs are charged in addition to the prices shown. Their amount is stated on the "Shipping & payment" page and is shown to the Customer in the checkout before the order is placed.

6) Retention of title

If the Seller delivers in advance, it retains ownership of the delivered goods until the purchase price owed has been paid in full.

7) Liability for defects

7.1 The statutory provisions on liability for defects apply. For consumers, these Terms do not restrict the statutory warranty rights.

7.2 Clause 2.6 applies to possible differences between the finished product and an AI design.

7.3 If the Customer acts as a merchant within the meaning of § 1 HGB, the Customer is subject to the commercial duty to inspect and give notice of defects under § 377 HGB. If the Customer fails to comply with the notification obligations set out there, the goods are deemed approved.

7.4 If the Customer acts as a consumer, the Customer is asked to complain to the carrier about goods delivered with obvious transport damage and to inform the Seller of this. If the Customer does not do so, this has no effect whatsoever on their statutory or contractual claims for defects.

8) Applicable law, language of the contract

8.1 All legal relationships between the parties are governed by the law of the Federal Republic of Germany, excluding the laws on the international sale of movable goods. For consumers, this choice of law only applies insofar as it does not deprive them of the protection granted by mandatory provisions of the law of the state in which the consumer has their habitual residence.

8.2 The language of the contract is German. Translations of these Terms are for information only; the German version is binding.

9) Alternative dispute resolution

The Seller is neither obliged nor willing to take part in dispute resolution proceedings before a consumer arbitration board.
